Case No.: CJ-20216-7 PETITION Plaintiff, Monterey Production Company, LLC ("Monterey"), for its Petition against Defendant, Clampett Oil Inc. ("Clampett"), alleges and states as follows: 1. Monterey is an Oklahoma limited liability company in good standing with its principal place of business in Tulsa County, Oklahoma. 2. Clampett is a Wyoming corporation that is qualified to conduct business in Oklahoma. Capitol Document Services, Inc. is its registered agent whose address is 1833 South Morgan Road, Oklahoma City, Oklahoma 73128, where summons may be served. 3. Clampett owns working interests and related leasehold interests in oil and gas wells located in Beaver County, Oklahoma, and other counties in Oklahoma. 4. On or about July 1, 2021, Monterey and Clampett entered into a written management agreement (the "Agreement"), pursuant to which Monterey agreed to manage and operate Clampett's oil and gas assets. A true and correct copy of the Agreement is attached as Exhibit A. 5. Under the Agreement, Monterey agreed to furnish labor and services, including, operational, supervisory, management, and related oilfield services with respect to Clampett's oil and gas properties, including producing wells and associated facilities. 6. The Agreement provides that Monterey's compensation for such labor and services would be calculated as 33.33% of the net revenue generated from Clampett's oil and gas assets. 7. The 33.33% compensation formula was the agreed method for measuring Monterey's earned compensation for labor and services furnished under the Agreement. It was not a conveyance or assignment of a working interest, overriding royalty interest, net profits interest, or other real property interest. 8. Pursuant to the Agreement, Monterey furnished substantial labor and services for Clampett, including without limitation: a. operational supervision of producing wells; b. management of field operations and personnel; c. coordination and oversight of contractors and vendors; d. maintenance, repair, and production oversight; e. management of production infrastructure; and, f. related labor and services necessary to operate and maintain oil and gas wells and associated facilities. 9. Monterey furnished such labor and services directly to Clampett and for the benefit of Clampett's working interests and leasehold interests. 10. Monterey's labor and services were furnished pursuant to one entire, integrated, and continuous contract covering Clampett's oil and gas assets. Monterey's work was not separately contracted or separately priced on a per-well basis. Because Monterey's services were furnished as part of one entire and integrated undertaking and were not separately contracted or priced on a per-well basis, the amount secured by Monterey’s liens is properly asserted as a single claim. To the extent allocation among particular wells or interests is required, such allocation may be determined through accounting and proof in this foreclosure action. 11. Clampett accepted and retained the benefits of Monterey’s labor and services. 12. Clampett failed and refused to pay Monterey the compensation due under the Agreement. 13. On March 4, 2026, Monterey filed of record with the County Clerk of Beaver County, Oklahoma, in Book 1484, Page 481, an Oil and Gas Lien Statement pursuant to 42 O.S §§141 et seq. in the amount of $1,376,534.00, a true and correct copy is attached hereto as Exhibit B and incorporated herein by reference. 14. On March 4, 2026, Monterey filed of record with the County Clerk of Ellis County, Oklahoma, in Book 1104, Page 253, an Oil and Gas Lien Statement pursuant to 42 O.S §§141 et seq. in the amount of $1,376,534.00, a true and correct copy is attached hereto as Exhibit C and incorporated herein by reference. 15. On March 4, 2026, Monterey filed of record with the County Clerk of Harper County, Oklahoma, in Book 796, Page 818, an Oil and Gas Lien Statement pursuant to 42 O.S §§141 et seq. in the amount of $1,376,534.00, a true and correct copy is attached hereto as Exhibit D and incorporated herein by reference. 16. The total amount of the oil and gas lien claimed of $1,376,534.00 attaches to all of the well and leasehold set forth in Exhibits B, C, and D herein. 17. Clampett possesses or controls the records necessary to determine the precise amounts due to Monterey, including production data, revenue statements, purchaser remittances, and related accounting records. 18. Monterey does not possess complete and reconciled records sufficient to determine the precise amount due without a formal accounting. 19. Monterey’s liens are asserted only against Clampett’s interests as set forth in the Lien Statements referenced herein, and associated leasehold property, fixtures, equipment, and appurtenances, and against production proceeds attributable to Clampett’s interests, to the extent permitted by Oklahoma law. 20. Monterey brings this action within the time allowed by Oklahoma law to foreclose its lien claims. First Cause of Action - Breach Of Contract 21. Monterey incorporates by reference Paragraphs 1 through 20 as though fully set forth herein. 22. The Agreement is a valid and enforceable contract between Monterey and Clampett. 23. Monterey performed its obligations under the Agreement, or was excused from further performance. 24. Clampett breached the Agreement by failing to pay Monterey the compensation due for Monterey’s labor and services. 25. As a direct and proximate result of Clampett’s breach, Monterey has suffered damages in an amount to be determined at trial, together with allowable pre-judgment interest, post-judgment interest, attorneys’ fees where allowed by law, and costs. Second Cause of Action - Accounting 26. Monterey incorporates by reference Paragraphs 1 through 25 as though fully set forth herein. 27. Monterey’s compensation under the Agreement is determined by a revenue-based formula tied to Clampett’s oil and gas assets operated by Monterey. 28. Clampett possesses or controls the books and records necessary to determine the full amounts due to Monterey. 29. The accounts between the parties are complicated and involve numerous wells, production streams, revenue statements, and related accounting entries, such that the precise amount due cannot be fully determined without a formal accounting. 30. Monterey is therefore entitled to an accounting requiring Clampett to produce a full and complete account of production, sales, revenues, allowable deductions, and distributions attributable to Clampett’s interests in the oil and gas assets sufficient to determine the amounts due to Monterey. Third Cause of Action - Foreclosure Of Oil And Gas Liens 31. Monterey incorporates by reference Paragraphs 1 through 30 as though fully set forth herein. 32. Monterey furnished labor and services under contract with Clampett in connection with Clampett’s interests in the oil and gas wells and leasehold set forth herein. 33. Pursuant to 42 O.S. § 144 and related provisions, Monterey holds valid oil and gas liens securing payment for the amounts due for such labor and services. 34. Monterey's liens attach to Clampett's working interests, leasehold interests, and statutorily covered associated property in the oil and gas interest as set forth herein, and to production proceeds attributable to Clampett's interests, to the extent allowed by Oklahoma law. 35. Clampett has failed and refused to pay the amounts secured by Monterey's liens. 36. Monterey is entitled to a decree foreclosing its liens against Clampett's interests in the oil and gas wells and leasehold as set forth herein, and associated property, directing sale of such interests as provided by Oklahoma law, and applying the proceeds to the amounts adjudged due to Monterey. 37. Monterey further seeks recovery of attorneys' fees and costs in connection with foreclosure as provided by Oklahoma law. Fourth Cause of Action – Constructive Trust 38. Monterey incorporates by reference Paragraphs 1 through 38 as though fully set forth herein. 39. The oil and gas wells and leasehold operated by Monterey generated production and revenue attributable to Clampett's interests. 40. Under the Agreement, Monterey's earned compensation was measured by a contractual percentage of the net revenue generated from Clampett's assets during Monterey's performance. 41. Clampett has received and retained production proceeds and related revenues attributable to the Subject Wells while failing to remit the compensation earned by Monterey. 42. To the extent Clampett has retained funds that represent Monterey's earned compensation, or funds traceable thereto, such funds are held under circumstances making it inequitable for Clampett to retain them. 43. Monterey is entitled to the imposition of a constructive trust upon production proceeds and other traceable funds attributable to Clampett's interests in the oil and gas wells and leasehold to the extent necessary to prevent unjust enrichment and secure Monterey's equitable entitlement to the sums earned. WHEREFORE, Monterey respectfully requests that the Court enter judgment in its favor and against Clampett as follows: A. Damages for breach of contract in an amount to be determined at trial, together with allowable pre-judgment interest, post-judgment interest, costs, and attorneys' fees where allowed by law; B. Ordering Clampett to provide a full accounting sufficient to determine all amounts due to Monterey under the Agreement, and awarding Monterey all sums shown to be due through such accounting; C. Declaring Monterey's oil and gas liens valid and enforceable, foreclosing such liens against Clampett's interests only in the oil gas wells and leasehold and associated property as allowed by Oklahoma law, ordering sale of such interests, and applying the sale proceeds to Monterey's adjudged claims, together with attorneys' fees and costs as allowed by law; D. Imposing a constructive trust on traceable production proceeds and related funds attributable to Clampett's interests in the oil and gas wells and leasehold to the extent necessary to secure Monterey's earned compensation and prevent unjust enrichment; and F. CLAIMANT. Claimant is: Monterey Production Company, LLC 2431 East 61st Street, Suite 715 Tulsa, Oklahoma 74136 Claimant is the contract operator of the oil and gas wells and leasehold estates described herein. 2. OWNER AND PARTIES AGAINST WHOM LIEN IS CLAIMED. On or about July 1, 2021, Claimant and Clampett Oil, Inc., a Wyoming corporation ("Clampett") entered into that certain Management Agreement (the "Agreement") pursuant to which: a. Claimant agreed to serve as operator of all Clampett’s wells and oil and gas assets; and, b. Claimant was granted a 33.3% economic interest in all net revenue generated from Clampett’s assets and such 33.3% interest constitutes the agreed contractual compensation for Claimant’s operational labor and services furnished under the Agreement. The Agreement governs the drilling, completion, reworking, operation, maintenance, supervision, and production activities relating to the Wells and Oil and Gas Leasehold Estates identified in Exhibit A. All services and operational activities giving rise to this lien were performed pursuant to said single, continuous Agreement. 4. NATURE OF SERVICES FURNISHED. Pursuant to the Agreement, Claimant furnished labor, services, operational supervision, management, and related oilfield services in connection with: Operating oil and gas wells, Maintaining and enhancing production, Managing oilfield equipment and infrastructure, Supervising field operations, and performing activities necessary to produce oil and gas from the wells and leasehold estates described in Exhibit A. Such services are lienable under 42 O.S. § 144 as labor and services furnished under contract with the leasehold owner. 5. AMOUNT CLAIMED. The total amount presently due and owing to Claimant under the Agreement is: $1,376,534.00 (One Million Three Hundred Seventy-Six Thousand Five Hundred Thirty Four and 00/100 Dollars). This amount represents Claimant's unpaid contractual 33.3% share of net revenue generated from the wells and oil and gas leasehold estates described in Exhibit A. The services performed under the Agreement were continuous and interrelated across the wells identified in Exhibit A, and the unpaid amounts arise from a single master contractual relationship covering all such wells. To the extent required, allocation among specific wells shall be determined in any foreclosure proceeding. Interest accrues at the statutory rate of six percent (6%) per annum pursuant to 15 O.S. § 266, or such other rate as may be established by law. 6. DATES OF PERFORMANCE. First date services were furnished under the Agreement: July 1, 2021 Last date services were furnished prior to filing: November 15, 2025 This lien is timely filed pursuant to 42 O.S. §§ 142 and 146. 7. PROPERTY SUBJECT TO LIEN. Pursuant to 42 O.S. § 144, Claimant claims a lien upon: 1. The whole of each oil and gas leasehold estate described in Exhibit A; 2. All wells identified in Exhibit A; 3. All oil, gas, casinghead gas, and other hydrocarbons produced therefrom; 4. All proceeds from the sale of such production inuring to the working interest; 5. All buildings and appurtenances located thereon; 6. All fixtures, machinery, casing, tubing, tanks, pumping units, engines, equipment, and appliances used in connection therewith; 7. All oilfield supplies and materials located on said leaseholds; 8. All improvements and personal property associated with said operations. This lien shall follow said property and each and every part thereof wherever the same may be located, as provided by statute. 8. DESCRIPTION OF WELLS AND OIL AND GAS LEASESHOLD (EXHIBIT A). All services and operational activities giving rise to this lien were performed pursuant to said single, continuous Agreement. 4. NATURE OF SERVICES FURNISHED. Pursuant to the Agreement, Claimant furnished labor, services, operational supervision, management, and related oilfield services in connection with: Operating oil and gas wells, Maintaining and enhancing production, Managing oilfield equipment and infrastructure, Supervising field operations, and performing activities necessary to produce oil and gas from the wells and leasehold estates described in Exhibit A. To the extent required, allocation among specific wells shall be determined in any foreclosure proceeding. Interest accrues at the statutory rate of six percent (6%) per annum pursuant to 15 O.S. § 266, or such other rate as may be established by law. 6. DATES OF PERFORMANCE.
